1. Acceptance of Terms

Welcome to TeamFlow. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TeamFlow ("we," "us," or "our") governing your access to and use of the TeamFlow mobile application, website, and related services (collectively, the "Service").

By accessing or using TeamFlow, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Service.

Important: Please read these Terms carefully before using TeamFlow. Your use of the Service constitutes acceptance of these Terms. If you are using TeamFlow on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

TeamFlow is a team collaboration and workflow automation platform that provides:

  • Team Collaboration: Tools for team communication, coordination, and collaboration
  • Task Management: Comprehensive task tracking with status updates, assignments, priorities, and deadlines
  • Project Organization: Structured project management with categories, hierarchies, and visual progress tracking
  • Real-time Communication: Instant messaging, direct messages, and team channels with file sharing capabilities
  • Workflow Automation: Visual workflow builder with triggers, actions, and automated task assignments
  • File Management: Secure cloud storage for file sharing, attachments, and document collaboration
  • Calendar Integration: Event scheduling, calendar synchronization, and meeting reminders
  • Notifications: Real-time push notifications for messages, task assignments, and important updates
  • Offline Support: Local caching and synchronization for offline functionality

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, at our sole discretion.

3. Eligibility and Account Registration

3.1 Age Requirement

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use TeamFlow. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service and that they have read and agreed to these Terms on your behalf.

3.2 Account Registration

To use TeamFlow, you must create an account by providing:

  • A valid email address
  • A display name
  • A secure password (if using password authentication), or
  • Authentication through Google OAuth

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use a strong, unique password (if using password authentication)
  • Not share your account credentials with any third party
  • Immediately notify us of any unauthorized use of your account or any other breach of security
  • Log out from your account when using a shared or public device
Warning: We are not liable for any loss or damage arising from your failure to comply with these security obligations. You may be held liable for losses incurred by us or others due to unauthorized use of your account.

4. User Accounts and Responsibilities

4.1 Account Ownership

Your TeamFlow account is personal to you. You may not transfer, sell, or assign your account to any third party without our prior written consent.

4.2 Multiple Accounts

You may create multiple accounts only if each account represents a distinct legal entity or individual. Creating multiple accounts to circumvent restrictions or violate these Terms is prohibited.

4.3 Account Verification

We may require you to verify your email address or provide additional information to confirm your identity. Failure to complete verification may result in limitations on your account or account suspension.

4.4 User Responsibilities

You are responsible for:

  • All content you post, upload, or share through the Service
  • Your interactions with other users and team members
  • Compliance with all applicable laws and regulations
  • Respecting the intellectual property rights of others
  • Maintaining appropriate backup copies of your content

5. Acceptable Use Policy

You agree to use TeamFlow only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

Prohibited Activities:
  • Illegal Activities: To violate any applicable local, state, national, or international law or regulation
  • Harmful Content: To transmit, upload, or distribute any content that is harmful, abusive, harassing, threatening, defamatory, libelous, invasive of privacy, or otherwise objectionable
  • Malicious Software: To upload, transmit, or distribute viruses, malware, worms, Trojan horses, or other malicious code
  • Spam and Unsolicited Communications: To send unsolicited messages, spam, or promotional materials to other users
  • Impersonation: To impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Unauthorized Access: To attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks
  • Service Interference: To interfere with or disrupt the Service, servers, or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service
  • Reverse Engineering: To reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Data Mining: To use automated systems (bots, scrapers, etc.) to access, scrape, or collect data from the Service without our prior written consent
  • Commercial Use: To use the Service for any commercial purpose not expressly permitted by us, including reselling or redistributing the Service
  • Violation of Rights: To infringe upon or violate the intellectual property rights, privacy rights, or other rights of any third party
  • Child Exploitation: To exploit, harm, or attempt to exploit or harm minors in any way
  • Fraudulent Activity: To engage in any fraudulent, deceptive, or misleading activity

5.1 Content Standards

All content you post or share must:

  • Be accurate and truthful (to the best of your knowledge)
  • Comply with all applicable laws and regulations
  • Respect the rights and dignity of others
  • Not contain confidential information of third parties without authorization
  • Not violate any contractual obligations or fiduciary duties

5.2 Enforcement

We reserve the right to investigate violations of these Terms and to take appropriate action, including but not limited to:

  • Removing or disabling access to content that violates these Terms
  • Suspending or terminating your account
  • Reporting violations to law enforcement authorities
  • Pursuing legal action against violators

6. User Content and Intellectual Property

6.1 Your Content

You retain ownership of all content you create, upload, post, or share through TeamFlow ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Use, reproduce, modify, adapt, and distribute your User Content solely for the purpose of providing and improving the Service
  • Display your User Content to other users as necessary for the Service to function (e.g., showing your messages to team members)
  • Create backup copies of your User Content for data protection and recovery purposes

This license continues even after you stop using the Service, except for content you explicitly delete, which will be removed in accordance with our data retention policies.

6.2 Content Responsibility

You represent and warrant that:

  • You own or have the necessary rights, licenses, and permissions to post and share your User Content
  • Your User Content does not infringe upon the intellectual property, privacy, or other rights of any third party
  • Your User Content complies with these Terms and all applicable laws

6.3 Our Intellectual Property

The Service, including its original content, features, functionality, design, logos, trademarks, and software, is owned by TeamFlow and protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or create derivative works of the Service
  • Use our trademarks, logos, or branding without our prior written consent
  • Remove any copyright, trademark, or other proprietary notices from the Service

6.4 Content Removal

We reserve the right, but not the obligation, to review, monitor, and remove User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We may also remove content at the request of users or third parties who have valid legal claims.

6.5 DMCA and Copyright

If you believe that your copyrighted work has been copied and is accessible through TeamFlow in a way that constitutes copyright infringement, please contact us with the following information:

  • A description of the copyrighted work you claim has been infringed
  • The location of the allegedly infringing content on TeamFlow
  • Your contact information
  • A statement that you have a good faith belief that the use is not authorized
  • A statement that the information is accurate and that you are the copyright owner or authorized to act on their behalf

7. Service Availability and Modifications

7.1 Service Availability

We strive to provide reliable and continuous access to TeamFlow, but we do not guarantee that the Service will be available at all times. The Service may be unavailable due to:

  • Scheduled maintenance and updates
  • Technical issues or system failures
  • Force majeure events (natural disasters, war, etc.)
  • Actions by third parties (e.g., internet service providers)

We are not liable for any loss or damage resulting from Service unavailability.

7.2 Service Modifications

We reserve the right to modify, update, or discontinue any aspect of the Service at any time, with or without notice. We may:

  • Add, remove, or modify features and functionality
  • Change pricing or subscription plans
  • Impose usage limits or restrictions
  • Discontinue the Service entirely (with reasonable notice)

7.3 Updates

We may release updates to the Service, including bug fixes, security patches, and new features. You agree to install updates to ensure optimal performance and security. Continued use of outdated versions may result in reduced functionality or security risks.

8. Subscriptions and Payments

8.1 Free and Paid Services

TeamFlow may offer both free and paid subscription tiers. Features, usage limits, and pricing are subject to change at our discretion. We will provide reasonable notice of any material changes to pricing or features.

8.2 Payment Terms

If you purchase a paid subscription:

  • You agree to pay all fees associated with your subscription
  • Fees are charged in advance on a recurring basis (monthly, annually, etc.)
  • All fees are non-refundable except as required by law or as explicitly stated in our refund policy
  • You are responsible for providing accurate payment information
  • We may use third-party payment processors to handle payments

8.3 Subscription Renewal and Cancellation

Subscriptions automatically renew unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until the end of your billing period.

8.4 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' notice of price increases. If you do not agree to the new price, you may cancel your subscription before the price change takes effect.

8.5 Refunds

Refund policies, if any, will be clearly stated at the time of purchase. Generally, subscription fees are non-refundable, but we may provide refunds in exceptional circumstances at our sole discretion or as required by applicable law.

9. Termination

9.1 Termination by You

You may terminate your account at any time by:

  • Using the account deletion feature in your account settings, or
  • Contacting us to request account deletion

Upon termination, your access to the Service will cease, and we will delete or anonymize your personal information in accordance with our Privacy Policy. Note that some content you've shared with teams may remain visible to other team members.

9.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms or our Privacy Policy
  • You engage in fraudulent, illegal, or harmful activity
  • You fail to pay required fees (for paid subscriptions)
  • We are required to do so by law or legal process
  • We determine, in our sole discretion, that termination is necessary to protect the Service or other users

9.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service immediately ceases
  • We may delete your account and User Content (subject to our data retention policies)
  • You remain responsible for any fees or charges incurred prior to termination
  • Provisions of these Terms that by their nature should survive termination will survive (including intellectual property, disclaimers, indemnification, and dispute resolution)

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Service is free of viruses or other harmful components
  • The Service will meet your specific requirements or expectations

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEAMFLOW, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Business interruption or loss of business opportunities
  • Damages resulting from unauthorized access to or use of the Service
  • Damages resulting from your reliance on the Service

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10.3 Third-Party Services

The Service may integrate with or link to third-party services (e.g., Google OAuth, cloud storage providers). We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is subject to their respective terms and privacy policies.

Note: Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless TeamFlow, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another user or third party
  • Your violation of any applicable law or regulation

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in defending such claims.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal legal claim, you agree to contact us first to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days of receiving your notice.

12.2 Binding Arbitration

If we cannot resolve a dispute informally, you and TeamFlow agree to resolve any disputes through binding arbitration rather than in court, except for:

  • Small claims court actions
  • Intellectual property disputes
  • Claims seeking injunctive or equitable relief

Arbitration will be conducted by a neutral arbitrator in accordance with the rules of the American Arbitration Association (AAA) or similar arbitration organization. The arbitrator's decision will be final and binding.

12.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and waive any right to participate in class actions, class arbitrations, or representative proceedings.

12.4 Time Limit

Any claim or cause of action arising out of or relating to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions. For users in the European Union, these Terms are subject to applicable EU consumer protection laws.

Your continued use of TeamFlow after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TeamFlow regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms or any rights hereunder without your consent.

16.5 Force Majeure

We are not liable for any failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet or telecommunications failures.
